Terms and Conditions for Continuing Professional Development courses conducted by AsianPrime Capital Pte Ltd.
ASIANPRIME CAPITAL PTE LTD — TERMS AND CONDITIONS FOR CONTINUING PROFESSIONAL DEVELOPMENT COURSES
These Terms and Conditions govern registration for and participation in Continuing Professional Development courses, programmes, seminars, workshops, webinars and other live online training activities conducted by AsianPrime Capital Pte Ltd. By registering for, paying for, attending or otherwise participating in a Course, you agree to be bound by these Terms and Conditions.
01Definitions and Interpretation
1.1 In these Terms and Conditions, unless the context otherwise requires:
- "AsianPrime Capital", "we", "us" or "our" means AsianPrime Capital Pte Ltd, CEA Licence No. L3011010B, of 60 Paya Lebar Road #06-28, Paya Lebar Square, Singapore 409051.
- "CEA" means the Council for Estate Agencies of Singapore.
- "Course" means any Continuing Professional Development course, programme, seminar, workshop, webinar or other live synchronous online training activity conducted by AsianPrime Capital through Zoom or another live video-conferencing platform designated by AsianPrime Capital.
- "CPD" means Continuing Professional Development under the framework administered by CEA.
- "CPDS" means CEA's Continuing Professional Development System or any replacement system designated by CEA.
- "Participant", "you" or "your" means the individual registered to attend or participate in a Course.
- "Structured Learning" or "SL", "Prescribed Essentials" or "PE", "Self-Directed Learning" or "SDL", and "training hours" shall have the meanings given to them under the applicable CEA CPD framework from time to time.
1.2 References to laws, regulations, regulatory requirements, policies, guidelines or standards include any amendment, replacement or re-enactment thereof.
1.3 References to writing include email and other electronic communications.
1.4 Headings are for convenience only and do not affect interpretation.
1.5 If any Course-specific registration conditions, eligibility criteria, assessment requirements or instructions are stated on the Course registration page, confirmation email or Course materials, such requirements form part of these Terms and Conditions.
1.6 If there is any inconsistency between these Terms and Conditions and a mandatory requirement imposed by CEA or applicable law, the mandatory regulatory or legal requirement shall prevail to the extent of the inconsistency.
02Application of These Terms and Conditions
2.1 These Terms and Conditions apply to all Courses conducted by AsianPrime Capital unless expressly stated otherwise.
2.2 By registering for, purchasing, attending or participating in a Course, you agree to be bound by: (a) these Terms and Conditions; (b) the applicable Course description; (c) the specific registration conditions; (d) our applicable privacy notice; (e) reasonable administrative and attendance instructions issued by AsianPrime Capital; and (f) applicable requirements imposed by CEA.
2.3 If an Estate Agent, employer or another organisation registers or pays for a Course on your behalf, you remain personally responsible for complying with all provisions relating to attendance, identity verification, conduct, intellectual property, confidentiality and CPD requirements.
2.4 A person registering another Participant represents that he or she has authority to provide that Participant's registration information and has brought these Terms and Conditions to the Participant's attention.
03Nature of Courses
3.1 AsianPrime Capital currently conducts its CPD Courses exclusively through live synchronous online training.
3.2 Courses are ordinarily conducted through Zoom but may be delivered through another suitable live video-conferencing platform designated by AsianPrime Capital.
3.3 AsianPrime Capital does not presently offer asynchronous e-learning CPD Courses under these Terms and Conditions.
3.4 AsianPrime Capital may introduce asynchronous e-learning or eCPD Courses in the future. Such Courses may be governed by separate or additional terms and conditions applicable at the time of registration.
04Course Information and CPD Status
4.1 AsianPrime Capital will state, where applicable, the Course title, Course reference number, CPD category, approved training hours, Course date, delivery mode, trainer, Course fee and other material information in the Course registration materials.
4.2 Where a Course is represented as an accredited Structured Learning CPD Course, that representation refers to its accreditation by CEA for the relevant period and subject to any conditions imposed by CEA.
4.3 CEA retains regulatory authority over the CPD framework, accreditation and recognition of CPD training hours.
4.4 AsianPrime Capital cannot override CEA's determination regarding a Participant's CPD obligations, eligibility, completion status or registration status.
4.5 Participants are responsible for determining: (a) their individual CPD requirements; (b) the number and category of training hours they require; (c) whether a Course is suitable for their particular CPD requirements; and (d) their CPD completion status through the CPDS.
4.6 Registration for or completion of a Course does not by itself guarantee renewal of a Participant's CEA registration, Estate Agent licence or any other professional registration.
05Registration
5.1 Course registrations are subject to availability and acceptance by AsianPrime Capital.
5.2 A registration is not confirmed until AsianPrime Capital has: (a) received the required registration information; (b) received payment where payment is required; and (c) issued a booking or registration confirmation.
5.3 Participants must provide accurate, current and complete information when registering.
5.4 A Participant must promptly notify AsianPrime Capital of any error or change in information relevant to: (a) identity verification; (b) Course attendance; (c) CPD reporting; (d) invoicing; or (e) communication relating to the Course.
5.5 AsianPrime Capital may refuse, suspend or cancel a registration where: (a) the Course is fully subscribed; (b) payment has not been received; (c) inaccurate or misleading information has been provided; (d) the Participant does not satisfy a stated eligibility requirement; (e) the registration appears to have been made fraudulently; (f) accepting the registration would cause AsianPrime Capital to breach a CEA requirement or applicable law; or (g) there are reasonable regulatory, administrative, security or operational grounds for doing so.
5.6 AsianPrime Capital will ordinarily issue final course confirmation, together with the Zoom joining link and session details, approximately three (3) calendar days before the scheduled commencement of the Course. This three-day point is AsianPrime Capital's course-confirmation cut-off. Where a Participant registers and pays within three (3) calendar days of the Course, the joining details will ordinarily be sent as soon as reasonably practicable after payment is confirmed.
5.7 AsianPrime Capital may cancel or reschedule a Course that has not, by the course-confirmation cut-off, met the minimum enrolment or other requirements necessary for it to proceed. Where AsianPrime Capital cancels a Course, clause 11 applies.
06Participant Identity and Registration Information
6.1 Participants must attend and complete the Course under their own registered identity.
6.2 AsianPrime Capital may require information reasonably necessary to identify the Participant and satisfy CEA's attendance and reporting requirements.
6.3 Participants must not: (a) permit another person to attend the Course on their behalf; (b) impersonate another Participant; (c) provide another person's login credentials; (d) falsely record attendance; (e) interfere with any attendance verification system; or (f) attempt to manipulate any attendance record.
6.4 AsianPrime Capital may request reasonable evidence of identity where necessary for Course administration or compliance with CEA requirements.
6.5 Any attempted impersonation, false attendance declaration or manipulation of attendance records may result in immediate removal from the Course, withholding of attendance confirmation and referral to CEA or another appropriate authority where required or appropriate.
07Course Fees
7.1 Course fees are stated in Singapore dollars unless otherwise specified.
7.2 The registration page will state whether the Course fee is inclusive or exclusive of Goods and Services Tax.
7.3 All applicable Course fees must be paid by the payment deadline stated at registration.
7.4 AsianPrime Capital may withhold confirmation of registration where payment has not been received.
7.5 Where an employer, Estate Agent or another third party is responsible for payment, the Participant's obligations under these Terms and Conditions remain unaffected by any separate payment arrangement.
7.6 Participants are responsible for ensuring that any reimbursement, sponsorship, grant or funding arrangement available to them is valid and applicable.
7.7 Unless AsianPrime Capital expressly agrees otherwise in writing, rejection or non-payment of a reimbursement, sponsorship, grant or funding claim does not relieve the Participant from liability for the Course fee.
08Promotions, Discounts and Promotional Codes
8.1 Promotions and discounts: (a) are subject to their stated eligibility requirements and validity periods; (b) cannot be exchanged for cash; (c) cannot ordinarily be applied retrospectively; (d) may not be combined unless expressly stated; and (e) may be withdrawn or amended before a booking is confirmed.
8.2 AsianPrime Capital may request reasonable evidence that a Participant satisfies the eligibility requirements for a particular promotion.
09Participant Cancellations
9.1 Unless a Course registration page states a different cancellation policy, the following standard policy applies.
9.2 A Participant wishing to cancel must notify AsianPrime Capital in writing.
9.3 Course fees are non-refundable. As a general rule, AsianPrime Capital does not provide cash refunds. Where a cancellation request is received at least 7 calendar days before the scheduled commencement of the Course, the Participant may instead request to transfer the registration once to another available session of the same Course, subject to seat availability and to clause 10. Refunds are provided only where AsianPrime Capital cancels the Course or where a refund is required under applicable Singapore law.
9.4 Where a cancellation request is received less than 7 calendar days before the scheduled commencement of the Course, the Course fee is non-refundable, unless AsianPrime Capital determines otherwise in exceptional circumstances.
9.5 No refund will ordinarily be provided where the Participant: (a) fails to attend; (b) logs in too late to satisfy CEA attendance requirements; (c) leaves early; (d) misses part of the Course beyond the permitted attendance threshold; (e) fails to comply with camera or attendance verification requirements; (f) fails to comply with Course requirements; (g) is removed for misconduct or breach of these Terms and Conditions; or (h) provides inaccurate registration information that prevents valid attendance reporting.
9.6 Nothing in this clause limits any right to a refund that cannot lawfully be excluded under applicable Singapore law.
10Transfers and Substitutions
10.1 A Participant may request a transfer to another available session of the same Course by providing written notice at least 3 working days before the original Course date.
10.2 Unless otherwise agreed, each registration may be transferred only once.
10.3 A requested transfer is subject to: (a) availability; (b) the Course remaining accredited where CPD accreditation is applicable; (c) the Participant satisfying eligibility requirements; and (d) any difference in the applicable Course fee.
10.4 AsianPrime Capital may permit the substitution of another individual before a Course begins, provided that: (a) the request is submitted before the administrative deadline specified by AsianPrime Capital; (b) the substitute meets all eligibility requirements; (c) accurate registration information for the substitute is provided; (d) the substitution does not contravene any CEA requirement; and (e) attendance has not already been recorded for the original Participant.
10.5 Substitution is not permitted after the Course has commenced.
11Cancellation or Rescheduling by AsianPrime Capital
11.1 AsianPrime Capital may cancel, postpone or reschedule a Course, or change the online platform used to deliver a Course, where reasonably necessary because of: (a) insufficient enrolment; (b) trainer illness or unavailability; (c) technical failure; (d) platform unavailability; (e) changes in regulatory requirements; (f) CEA accreditation matters; (g) public emergencies; (h) events outside our reasonable control; or (i) other reasonable operational circumstances.
11.2 Where AsianPrime Capital cancels a Course and does not provide a reasonably suitable replacement session, Participants will be entitled to a refund of the Course fees actually paid for the cancelled Course.
11.3 Where a Course is rescheduled, the Participant may ordinarily elect to: (a) attend the rescheduled Course; (b) transfer the registration to another available session of the same Course; or (c) request a refund if the Participant cannot reasonably attend the rescheduled session.
11.4 Except to the extent liability cannot lawfully be excluded, AsianPrime Capital shall not be responsible for indirect, incidental or consequential expenditure or losses arising from Course cancellation, rescheduling or technical disruption.
12Changes to Trainer, Course Content and Online Arrangements
12.1 AsianPrime Capital may replace a trainer with another suitably qualified trainer.
12.2 A change of trainer does not by itself entitle a Participant to a refund.
12.3 AsianPrime Capital may make reasonable changes to: (a) lesson sequencing; (b) exercises; (c) case studies; (d) Course materials; (e) video-conferencing platforms; (f) digital attendance systems; or (g) administrative arrangements, provided that such changes do not materially undermine the stated learning outcomes or applicable CEA accreditation requirements.
13Attendance Requirements
13.1 Participants must comply strictly with the attendance requirements applicable to the Course.
13.2 Participants must personally complete all attendance verification procedures required by AsianPrime Capital and CEA.
13.3 Attendance may be verified through: (a) Zoom login and logout records; (b) electronic check-in and check-out; (c) digital attendance systems; (d) camera verification; (e) screenshots; (f) verbal or electronic attendance checks; (g) participant activity records; and (h) any other method required or permitted by CEA.
13.4 Participants must not permit another person to attend, log in or complete attendance verification on their behalf.
13.5 Where applicable under CEA requirements, a Participant who misses more than 15 minutes from the commencement of the Course or during the Course may not be awarded CPD attendance.
13.6 Accordingly, a Participant may be treated as having failed to complete the Course where the Participant: (a) logs in more than 15 minutes late; (b) is absent or disconnected for more than the permitted period; (c) leaves the Course more than 15 minutes before completion; (d) fails to remain visibly present when required; (e) fails to respond to reasonable attendance verification checks; or (f) otherwise fails to satisfy the applicable attendance requirements.
13.7 Participants should log in sufficiently early to complete any required identification and technical checks before the scheduled commencement of the Course.
13.8 AsianPrime Capital has no discretion to award CPD training hours contrary to applicable CEA requirements.
13.9 Participants must complete and submit CEA’s feedback form for the CPD course. A Participant who does not complete and submit the CEA feedback form will not be counted as having completed the Course, and CPD hours will not be recognised.
14Live Online Course Delivery
14.1 AsianPrime Capital's Courses are delivered live and online through Zoom or another video-conferencing platform selected by AsianPrime Capital.
14.2 Participants are responsible for ensuring that they have: (a) a suitable computer, tablet or other compatible device; (b) a functioning camera; (c) a functioning microphone where required; (d) a stable and reliable internet connection; (e) access to the specified online platform; (f) any software or application required to access the Course; and (g) an environment reasonably suitable for professional participation in the Course.
14.3 Participants should complete any recommended technical checks before the Course begins.
14.4 Participants must log in using the name and identifying information required by AsianPrime Capital.
14.5 Participants must not: (a) share Course access links; (b) share passwords or login credentials; (c) permit another person to access the Course using their registration; (d) attend on behalf of another Participant; or (e) permit another person to complete attendance or identity verification procedures on their behalf.
15Camera and Identity Verification Requirements
15.1 Participants must comply with all camera and identity verification requirements applicable to the Course.
15.2 Where required by CEA's prevailing requirements: (a) the Participant's camera must remain switched on throughout the Course; (b) the Participant's face must remain clearly and reasonably visible; (c) the Participant must personally remain present throughout the Course; and (d) the Participant must respond to reasonable attendance, identity or engagement checks.
15.3 Participants should position their camera so that their face can be reasonably identified throughout the Course.
15.4 A virtual background may be used provided that it does not interfere with identity or attendance verification.
15.5 AsianPrime Capital may request a Participant to adjust the Participant's camera, lighting, positioning or display name where reasonably necessary for identity or attendance verification.
15.6 A Participant who fails to satisfy applicable camera, identity or attendance requirements may not be awarded the relevant CPD training hours.
16Technical Difficulties
16.1 Participants are responsible for their own internet connection, devices, hardware, software and technical environment.
16.2 A Participant experiencing technical difficulties during a Course must notify AsianPrime Capital as soon as reasonably practicable through the communication method provided for the Course.
16.3 Technical difficulties affecting the Participant's own equipment, internet connection, camera, microphone or software do not automatically exempt the Participant from applicable attendance requirements.
16.4 Where technical difficulties result in the Participant exceeding the permitted absence period or prevent AsianPrime Capital from verifying the Participant's presence, AsianPrime Capital may be unable to award CPD training hours.
16.5 Where a material technical disruption is caused by AsianPrime Capital's systems or materially affects the Course generally, AsianPrime Capital may: (a) pause the Course; (b) extend the Course; (c) resume the Course after the technical issue is resolved; (d) arrange a replacement session; or (e) reschedule the Course.
16.6 Any alternative arrangement remains subject to CEA's applicable CPD requirements.
17Participant Conduct
17.1 Participants must behave professionally and respectfully throughout the Course.
17.2 Participants must not: (a) engage in abusive, threatening, discriminatory, harassing or disruptive behaviour; (b) interfere with the trainer or another Participant's learning; (c) post inappropriate, offensive or unlawful material through Zoom chat or other Course communication channels; (d) impersonate another person; (e) falsify attendance information; (f) misuse confidential information disclosed during the Course; (g) make unauthorised recordings; (h) distribute Course materials without permission; (i) share Course access links or login credentials; (j) use Course chat rooms, breakout rooms or Participant information for unauthorised marketing or solicitation; or (k) recruit Participants to another Estate Agent, business or organisation without AsianPrime Capital's prior written permission.
17.3 AsianPrime Capital may mute, restrict or remove a Participant where reasonably necessary to maintain Course integrity, professional standards, safety or regulatory compliance.
17.4 Serious misconduct may result in removal from the Course without refund.
17.5 Where appropriate, serious misconduct, suspected fraud, impersonation or false attendance may be reported to CEA or another relevant authority.
18AI Bots, Automated Assistants and Recording Tools
18.1 Participants must not introduce into a Course any automated meeting assistant, artificial intelligence bot, transcription bot, recording bot, automated note-taking service or similar tool without AsianPrime Capital's prior written permission.
18.2 Participants must not use artificial intelligence or automated technology to: (a) record the Course; (b) transcribe the Course; (c) capture or reproduce Course content; (d) collect information about other Participants; (e) generate unauthorised summaries for distribution; (f) reproduce proprietary Course materials; or (g) circumvent any restriction imposed by these Terms and Conditions.
18.3 AsianPrime Capital may remove or block any unauthorised bot, assistant, integration, application or automated participant from a Course.
18.4 Nothing in this clause prevents a Participant from using ordinary accessibility technology where reasonably required, provided that the Participant informs AsianPrime Capital in advance where the technology records, transmits or stores Course content or personal data.
19Recording, Screenshots and Attendance Evidence
19.1 Participants must not make any unauthorised: (a) audio recording; (b) video recording; (c) screen recording; (d) screenshot; (e) photograph; (f) transcription; or (g) livestream of any Course, Course materials, trainer or other Participant.
19.2 AsianPrime Capital may take screenshots, photographs or create other electronic records during the Course where reasonably necessary for: (a) attendance verification; (b) identity verification; (c) compliance with CEA requirements; (d) regulatory audits; (e) investigation of attendance discrepancies; (f) security; or (g) maintenance of required CPD records.
19.3 Regulatory attendance screenshots and records are collected for Course administration, regulatory and compliance purposes.
19.4 Use of a Participant's identifiable image, testimonial or recording for general marketing or promotional purposes will be treated separately from mandatory attendance verification and will be subject to applicable consent requirements.
20Online Learning Environment
20.1 Participants should participate from an environment reasonably suitable for professional learning.
20.2 Participants should take reasonable steps to minimise unnecessary interruptions and background noise.
20.3 Participants must not participate in a Course while driving or undertaking any activity that prevents safe and meaningful participation.
20.4 Participants are responsible for protecting the privacy of persons within their own environment who may inadvertently appear or be heard during an online Course.
20.5 AsianPrime Capital may require a Participant to adjust their camera, audio or environment where reasonably necessary for identity verification, attendance monitoring or effective Course delivery.
21No Recruitment or Solicitation
21.1 Courses are provided for education and professional development.
21.2 Unless expressly authorised by AsianPrime Capital, Participants must not use a Course, Course chat group, Participant list, Zoom function or Course platform to: (a) recruit Participants to an Estate Agent; (b) solicit business; (c) promote unrelated goods or services; (d) distribute unsolicited marketing material; (e) collect Participants' personal data for marketing purposes; or (f) promote another training provider, business or commercial activity.
22Course Materials and Intellectual Property
22.1 All intellectual property rights in Course materials developed or owned by AsianPrime Capital remain vested in AsianPrime Capital or the relevant rights holder.
22.2 Course materials may include: (a) slides; (b) notes; (c) workbooks; (d) diagrams; (e) case studies; (f) exercises; (g) templates; (h) videos; (i) graphics; (j) databases; (k) online content; and (l) other educational resources.
22.3 Subject to full payment of applicable fees, the Participant is granted a limited, personal, non-exclusive, non-transferable and revocable licence to use Course materials for the Participant's own learning and professional reference.
22.4 Unless AsianPrime Capital gives prior written permission, Participants must not: (a) reproduce Course materials substantially or in full; (b) distribute them to another person; (c) upload them to a shared drive, website, social media service, learning platform or public repository; (d) upload them into any artificial intelligence system for training, ingestion, reproduction, extraction or redistribution; (e) sell or commercially exploit them; (f) adapt them to create another training programme; (g) remove copyright or proprietary notices; or (h) permit another person to access restricted Course content.
22.5 Nothing in these Terms and Conditions transfers ownership of AsianPrime Capital's intellectual property to a Participant.
23Confidentiality and Course Discussions
23.1 Course discussions may involve practical examples, case studies, professional experiences or other information shared by trainers or Participants.
23.2 Participants must respect the confidentiality and privacy of others.
23.3 Participants must not disclose personal data, confidential client information or commercially sensitive information during a Course unless they are lawfully entitled to do so.
23.4 Where a real-life example is discussed, Participants should anonymise client or third-party information where reasonably practicable.
23.5 Participants must not reproduce, publish or circulate confidential information shared during a Course without appropriate permission.
23.6 AsianPrime Capital may require Participants to refrain from further disclosure of particularly sensitive information shared for educational purposes.
24Personal Data
24.1 AsianPrime Capital may collect, use and disclose personal data reasonably necessary for: (a) Course registration; (b) identity verification; (c) payment and invoicing; (d) Course administration; (e) attendance recording; (f) participant communications; (g) technical support; (h) maintenance of training records; (i) administration of the CPDS; (j) disclosure to CEA where required; (k) regulatory reporting; (l) audits and compliance; (m) handling complaints or disputes; and (n) compliance with applicable legal obligations.
24.2 Depending on the Course and applicable regulatory requirements, personal data processed may include: (a) name; (b) contact details; (c) CEA registration information; (d) Estate Agent information; (e) attendance information; (f) payment information; (g) Zoom or platform activity; (h) photographs or screenshots used for attendance verification; and (i) other information reasonably required for Course administration or regulatory compliance; and (j) NRIC or FIN, which is collected where necessary to verify identity and to report your CPD attendance to CEA.
24.3 Personal data may be disclosed to CEA, service providers, technology providers, payment processors, professional advisers or other persons where reasonably necessary for the purposes described above and subject to applicable law.
24.4 AsianPrime Capital will handle personal data in accordance with the Personal Data Protection Act 2012 and its applicable privacy policies.
24.5 Participants must ensure that personal data provided to AsianPrime Capital is accurate and complete.
24.6 Where CEA or applicable law requires AsianPrime Capital to retain records for regulatory, audit or legal purposes, such records may be retained for the applicable period notwithstanding a Participant's subsequent request to withdraw consent for an unrelated purpose.
25Marketing Communications
25.1 Consent to receive marketing communications is not a condition of participating in a Course unless a communication is reasonably necessary to administer that Course.
25.2 AsianPrime Capital may send Participants administrative communications concerning: (a) registration; (b) payment; (c) Course reminders; (d) changes to Course arrangements; (e) attendance; (f) Course materials; (g) certificates or proof of attendance; (h) regulatory requirements; or (i) other matters necessary to provide the Course.
25.3 Promotional communications concerning future Courses, events or services will be handled in accordance with applicable data protection and marketing laws.
25.4 Participants may withdraw applicable marketing consent or unsubscribe from marketing communications through the method provided in the relevant communication.
25.5 Withdrawal from marketing communications does not prevent AsianPrime Capital from sending communications reasonably necessary to administer a Course for which the Participant is registered.
26Photography and Promotional Use
26.1 Regulatory attendance images and promotional photographs are treated as separate purposes.
26.2 Where screenshots, photographs or other images are required to demonstrate attendance or satisfy CEA audit requirements, AsianPrime Capital may create and retain them for that regulatory purpose.
26.3 AsianPrime Capital will not rely solely on mandatory Course attendance as blanket consent to use an identifiable Participant's image, testimonial or recording for unrelated advertising where separate consent is required.
26.4 Where AsianPrime Capital wishes to feature an identifiable Participant in promotional material, appropriate consent may be requested separately.
27Proof of Attendance and CPD Records
27.1 Subject to the Participant satisfying applicable Course completion requirements, AsianPrime Capital will provide proof of attendance in a form permitted by CEA.
27.2 Such proof may take the form of: (a) a certificate of attendance; (b) a letter of confirmation; or (c) an email confirmation.
27.3 Where applicable, proof of attendance may state information required by CEA, including the Participant's name, Course title, applicable accredited training hours and date of attendance.
27.4 For applicable Structured Learning Courses, AsianPrime Capital will submit or upload attendance information to the CPDS in accordance with CEA's prevailing requirements.
27.5 Participants should check their CPDS records after a reasonable processing period and promptly inform AsianPrime Capital if they believe an attendance record contains an error.
27.6 AsianPrime Capital may correct genuine administrative errors but will not create, amend or confirm attendance contrary to actual attendance records or CEA requirements.
28No Guarantee of CPD Recognition Contrary to CEA Requirements
28.1 AsianPrime Capital will administer accredited Courses in accordance with applicable CEA requirements.
28.2 However, AsianPrime Capital does not warrant that CEA will recognise a Participant's Course attendance where the Participant: (a) has not complied with attendance requirements; (b) has provided incorrect identifying information; (c) has failed applicable completion requirements; (d) has failed to satisfy identity verification requirements; or (e) is otherwise ineligible under CEA's regulatory requirements.
28.3 The Participant remains responsible for monitoring his or her own CPD status and registration requirements.
29CEA Accreditation Changes
29.1 CPD accreditation is subject to CEA's continuing regulatory authority.
29.2 CEA may amend the CPD framework, accreditation requirements or recognition of training hours from time to time.
29.3 If CEA suspends, withdraws or materially changes the accreditation of a Course before the Participant attends it, AsianPrime Capital will take reasonable steps to notify affected Participants.
29.4 Where the material purpose of a confirmed booking was to obtain particular CEA CPD training hours and those training hours can no longer be awarded because accreditation has been withdrawn before the Course is delivered, AsianPrime Capital will ordinarily offer: (a) transfer to an appropriate accredited Course; or (b) refund of the Course fee paid.
30Educational Nature of Course Content
30.1 Courses and Course materials are provided for education and professional development.
30.2 Unless expressly stated otherwise, Course content does not constitute: (a) legal advice; (b) tax advice; (c) financial advice; (d) investment advice; (e) valuation advice; or (f) advice tailored to a particular client or transaction.
30.3 Examples and case studies may be simplified or adapted for educational purposes.
30.4 Participants must exercise their own professional judgement and verify current law, regulations, policies and transaction-specific facts before acting in a professional capacity.
30.5 Where specialist advice is required, Participants should obtain advice from an appropriately qualified professional.
31Accuracy and Regulatory Changes
31.1 AsianPrime Capital will take reasonable care to prepare Course materials accurately and to keep regulatory material reasonably current as at the Course date.
31.2 Laws, regulations, government policies, CEA requirements and market practices may change.
31.3 Unless expressly stated otherwise, Course materials speak as at the Course date and do not constitute a commitment by AsianPrime Capital to provide future updates.
31.4 Participants should verify whether there have been subsequent regulatory changes before relying on Course materials at a later date.
32External Resources and Third-Party Content
32.1 Courses may refer to legislation, government publications, third-party websites, software, applications or other external resources.
32.2 Such references are provided for learning or convenience and do not necessarily constitute endorsement by AsianPrime Capital.
32.3 AsianPrime Capital does not control third-party websites or services and cannot guarantee their continuing availability.
32.4 Participants are responsible for complying with the terms applicable to third-party services they elect to use.
33Online Platform Availability
33.1 AsianPrime Capital may use third-party video-conferencing, payment, registration, communication or attendance platforms to provide its Courses.
33.2 Participants acknowledge that third-party platforms may occasionally experience interruption, maintenance, security incidents or technical failure.
33.3 AsianPrime Capital does not warrant uninterrupted operation of third-party platforms.
33.4 AsianPrime Capital will take reasonable steps to manage a material interruption to Course delivery.
33.5 AsianPrime Capital may replace one online platform with another reasonably suitable platform where necessary for Course delivery, security, regulatory compliance or operational reasons.
34Cybersecurity and Platform Misuse
34.1 Participants must not attempt to: (a) gain unauthorised access to AsianPrime Capital's systems or platforms; (b) interfere with, disrupt or compromise the Course platform; (c) introduce malware, malicious code or harmful files; (d) bypass security controls; (e) scrape or extract Participant information; (f) interfere with another Participant's access; or (g) use the Course platform for any unlawful or unauthorised purpose.
34.2 AsianPrime Capital may suspend or terminate a Participant's access immediately where there are reasonable grounds to suspect cybersecurity risk, unauthorised access or platform misuse.
35Limitation of Liability
35.1 Nothing in these Terms and Conditions excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.
35.2 Subject to clause 35.1, AsianPrime Capital shall not be liable for indirect, incidental, special or consequential loss arising from participation in or inability to participate in a Course, including loss of profit, revenue, business opportunity or anticipated savings.
35.3 AsianPrime Capital does not warrant that participation in a Course will result in: (a) any particular business result; (b) increased income or commissions; (c) successful completion of a transaction; (d) professional registration renewal; or (e) any particular employment or career outcome.
35.4 Subject to clause 35.1, where AsianPrime Capital is liable in connection with a particular Course, its aggregate contractual liability arising from that Course shall, to the extent permitted by law, not exceed the Course fee actually paid to AsianPrime Capital by or for the Participant for that Course.
35.5 Nothing in these Terms and Conditions excludes liability for fraud or any other liability that may not lawfully be excluded.
36Participant Responsibility
36.1 Participants remain responsible for: (a) their professional conduct; (b) advice given to clients; (c) compliance with the Estate Agents Act and subsidiary legislation; (d) compliance with CEA's Code of Ethics and Professional Client Care and other applicable requirements; (e) compliance with the policies of their Estate Agent; (f) verifying information relevant to actual transactions; and (g) obtaining specialist professional advice where appropriate.
36.2 Completion of a Course does not transfer a Participant's professional responsibilities to AsianPrime Capital or the trainer.
37Force Majeure and Events Beyond Reasonable Control
37.1 AsianPrime Capital shall not be in breach of these Terms and Conditions for delay or failure to perform an obligation caused by circumstances beyond its reasonable control, including: (a) natural disasters; (b) fire or flood; (c) epidemic or public health emergency; (d) governmental restrictions; (e) civil disturbance; (f) widespread telecommunications failure; (g) widespread internet failure; (h) failure of Zoom or another third-party service; (i) cyberattack affecting Course delivery; or (j) other comparable events outside its reasonable control.
37.2 AsianPrime Capital will take reasonable steps to minimise disruption and may reschedule, suspend or rearrange Course delivery where appropriate.
37.3 If a Course cannot reasonably be delivered within a reasonable period following such an event, AsianPrime Capital may cancel the Course and refund the Course fee paid for the undelivered Course.
38Complaints and Feedback
38.1 AsianPrime Capital welcomes reasonable feedback concerning Course quality and administration.

38.3 A complaint relating to attendance should be submitted promptly so that relevant records can be reviewed.
38.4 AsianPrime Capital may request reasonable supporting information before amending an attendance or registration record.
38.5 Participants must complete and submit CEA’s feedback form for the CPD course. Completion of the Course is not recognised until the CEA feedback form has been submitted.
39Data Protection Enquiries

39.2 Requests relating to access, correction or withdrawal of consent will be handled in accordance with applicable provisions of the Personal Data Protection Act 2012.
40Communications and Electronic Records
40.1 Participants consent to Course administration being conducted electronically, including through: (a) email; (b) registration platforms; (c) Zoom or another video-conferencing service; (d) electronic attendance systems; (e) payment systems; and (f) electronic certificates or confirmations.
40.2 A communication sent to the email address or contact information provided by a Participant may be treated as sent to that Participant unless AsianPrime Capital has been notified that the information is incorrect.
40.3 Participants are responsible for monitoring the contact details supplied during registration.
41Electronic Acceptance
41.1 By selecting an electronic acknowledgement such as "I agree to the Terms and Conditions", submitting a Course registration, making payment, or otherwise completing the enrolment process after being given reasonable access to these Terms and Conditions, the Participant confirms that he or she: (a) has read and understood these Terms and Conditions; (b) agrees to be bound by them; (c) understands the Course attendance and completion requirements; (d) understands that CPD training hours depend upon satisfaction of applicable CEA requirements; and (e) confirms that the registration information provided is accurate.
41.2 Electronic acceptance shall have the same effect as acceptance in writing to the extent permitted by applicable law.
42Amendments to These Terms and Conditions
42.1 AsianPrime Capital may amend these Terms and Conditions from time to time to reflect: (a) changes in law; (b) changes in CEA requirements; (c) changes in the CPD framework; (d) operational improvements; (e) changes in technology or Course delivery arrangements; or (f) changes in AsianPrime Capital's business practices.
42.2 Unless a change is required by law or CEA with immediate effect, the Terms and Conditions applicable to a Participant's confirmed booking will generally be those in force when the booking was made.
42.3 Where a regulatory change must apply to an existing booking, AsianPrime Capital may implement the change to the extent reasonably necessary to comply with that requirement.
43Severability
43.1 If any provision of these Terms and Conditions is held to be invalid, illegal or unenforceable, that provision shall, to the extent necessary, be severed or limited.
43.2 The remaining provisions shall continue in effect to the fullest extent permitted by law.
44Waiver
44.1 A failure or delay by AsianPrime Capital to exercise a right under these Terms and Conditions does not constitute a waiver of that right.
44.2 A waiver on one occasion does not constitute a continuing waiver.
45Entire Agreement
45.1 These Terms and Conditions, together with the applicable Course registration information and documents expressly incorporated into them, constitute the agreement between AsianPrime Capital and the Participant concerning participation in the Course.
45.2 Nothing in this clause excludes liability for fraudulent misrepresentation.
46Third-Party Rights
46.1 Unless expressly provided otherwise, a person who is not a party to the agreement between AsianPrime Capital and the Participant has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any provision of these Terms and Conditions.
47Governing Law
47.1 These Terms and Conditions and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Republic of Singapore.
48Dispute Resolution and Jurisdiction
48.1 The parties should first attempt in good faith to resolve any dispute by communicating directly with each other.
48.2 Nothing in this clause prevents either party from proposing mediation or another appropriate form of alternative dispute resolution.
48.3 Subject to any mandatory rights available under Singapore law, the courts of Singapore shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms and Conditions.
49Future eCPD Courses
49.1 AsianPrime Capital may introduce asynchronous e-learning or eCPD Courses in the future.
49.2 Such Courses are not presently governed by these Terms and Conditions unless expressly stated otherwise.
49.3 Future eCPD Courses may be subject to separate or additional terms and conditions notified to Participants at the time of registration.
50Acceptance
50.1 By registering for, paying for, attending or participating in a Course, the Participant confirms that he or she: (a) has read and understood these Terms and Conditions; (b) agrees to be bound by them; (c) understands the applicable attendance, camera and identity verification requirements; (d) understands that CPD training hours are subject to CEA's prevailing requirements; (e) accepts responsibility for ensuring that the Course is suitable for his or her own CPD requirements; and (f) confirms that all registration information provided is accurate.
